Matthew undertakes a wide range of corporate and commercial work, specialising in mergers and acquisitions. He has considerable experience in corporate re-organisations, receiverships, cross-border acquisitions, disposals, joint ventures and strategic alliances, and advises both public and private companies on all aspects of corporate, contract and securities law. Matthew also has considerable experience in commercial property, having acted for some of New Zealand’s leading commercial property investors and developers. Matthew is a member of the Institute of Directors.

  • Extensive experience in corporate and commercial law, joint ventures, strategic alliances and securities law.
  • Advising on large and small (including cross-border) M&A transactions, including corporate restructurings, acquisitions and disposals.
  • Advising on securities offerings, listings, Financial Markets Conduct Act and Takeovers Code compliance.
  • Advising commercial property investors on acquisitions, disposals, and sale and lease back, development and leasing arrangements.
  • Assisting overseas entities with all matters relating to their New Zealand operations and investments, including with respect to the obtaining of consents under the Overseas Investment Act.
  • Advising on succession planning, including in relation to business restructurings.
  • Particular experience in the renewable energy (including hydro, wind and solar), forestry, dairy, agricultural and aviation sectors, and water storage projects.
  • Advising on the sale of a national operator in the travel industry.
  • Advising on the cross-border sale of (and associated joint venture arrangements with respect to) a multi-national manufacturing group.
  • Advising on the acquisition (and associated structuring) of numerous businesses in receivership.
  • Advising technology companies on the raising of capital and introduction of cornerstone shareholders.
  • Acquisition of large scale industrial sites across multiple locations throughout New Zealand from multinational entities and the lease back by way of triple net leases, together with subsequent portfolio sale arrangements.
  • Advising national meat and agriculture company on all aspects of their intellectual property (including genetics), capital and general commercial arrangements.
  • Advising specialist milk products manufacturer with respect to the introduction of supplier shareholders and all associated arrangements.
  • Advising national dairy company on strategic acquisitions, joint ventures (including cross-border), supply arrangements and commercial matters generally.
  • Advising on several large scale water storage projects involving diverse stakeholder groups and funding arrangements.
  • Advising several entities in the hops market on their capital raising and strategic joint venture arrangements.
  • Advising a large South Island corporate dairy group, including its initial formation and subsequent divestment, acquisitions and shareholder relationship matters.
